Acceptance of Terms

These Terms of Service (the "Terms") govern your access to and use of Script Fountain (the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

Who we are

“T&Q Group” is a trade name used for the operation of Script Fountain.

Eligibility and Account Registration

• You must be at least 13 years old (or the age required by your jurisdiction) to use the Service.
• You are responsible for the accuracy of information you provide (e.g., your email) and for maintaining the security of your account.
• You agree to promptly notify us of any unauthorized access or use of your account.
• When you choose Google sign‑in, your use is also subject to Google’s terms and policies.

Your Content

• You retain ownership of the screenplays and other content you submit to the Service.
• You grant us a non‑exclusive, worldwide, royalty‑free license to host, store, process, transmit, display, and create backups of your content solely to operate and improve the Service.
• You are responsible for your content and for ensuring you have the rights to upload and use it.

Content and Backups

• While we take commercially reasonable measures to protect your content, you acknowledge that the Service is provided “as is” and without any guarantee of uninterrupted availability or preservation of data.
• You are solely responsible for maintaining backup copies of your screenplays and other content.
• We shall not be liable for any loss, corruption, or deletion of content stored in the Service.

Confidentiality

Your screenplays and related content are considered confidential to you. We will not access, disclose, or share your content with third parties, except:

• as necessary to provide and improve the Service (e.g., storage, hosting, backups, technical support),
• when required by law or legal process, or
• if you provide explicit consent.

We implement commercially reasonable measures to protect your content against unauthorized access or disclosure.

Acceptable Use

• Do not use the Service for unlawful, infringing, or harmful activities.
• Do not interfere with or disrupt the integrity or performance of the Service.
• Do not attempt to access the Service or related systems without authorization.
• Do not copy, scrape, or reverse engineer the Service except as permitted by law.
• Plan limits (e.g., Free, Plus, Pro) and fair‑use constraints may apply and are subject to change.

Plans, Billing, and Taxes

• Some features may require a paid subscription. Prices and features may change with notice.
• Unless stated otherwise, all fees are non‑refundable and exclude applicable taxes.
• Invoices and related metadata may be stored for accounting and compliance; payment card details are not stored by the Service.
• You may cancel at any time; access to paid features typically continues until the end of the current billing period.

Termination

• You may stop using the Service at any time. You can delete content from your library at your discretion.
• We may suspend or terminate your access to the Service, or discontinue the Service entirely, at any time and for any reason, including but not limited to breach of these Terms, suspected abuse, legal requirement, business decisions, or to protect the Service or its users. We shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.
• Upon termination or discontinuation, we may retain certain records as required by law or legitimate business needs (e.g., invoices).
• You acknowledge that you are solely responsible for maintaining backup copies of your content, and that we shall not be liable for any loss, corruption, or deletion of content resulting from termination or discontinuation of the Service.

Intellectual Property

The Service, including its software, design, and branding, is owned by T&Q Group and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or domain names.

Third‑Party Services

The Service may rely on third‑party services (e.g., Google for authentication, public CDNs for assets). Your use of those services may be subject to their own terms and policies. We are not responsible for third‑party services.

Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee that the Service will be uninterrupted, timely, secure, or error‑free.

Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the Service. Our total liability for any claim relating to the Service shall not exceed USD $50.

Indemnification

You agree to defend, indemnify, and hold harmless T&Q Group, its operators, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

Governing Law and Venue

These Terms are governed by the laws of Costa Rica, without regard to its conflict of law rules. You agree to the exclusive jurisdiction and venue of the courts located in Costa Rica for the resolution of any dispute arising from or relating to these Terms or the Service.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the effective date above. Your continued use of the Service after the changes become effective constitutes your acceptance of the updated Terms.

• Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our prior written consent.
• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the subject matter.
